Welcome to Dialvora. These Terms and Conditions ("Terms") govern your use of the Dialvora platform, including our AI dialer, voice agents, VoIP services, and related software, websites, and APIs (collectively, the "Service"), operated by Dialvora Inc. ("Dialvora", "we", "us", or "our"). By creating an account, accessing the Service, or clicking "I agree", you accept these Terms in full. If you do not agree, do not use the Service.
Eligibility & Account
You must be at least 18 years old and authorized to bind your company to these Terms. You agree to provide accurate registration information, keep credentials secure, and notify us immediately of any unauthorized access. You are responsible for all activity under your account — including activity by your agents, contractors, or anyone you give credentials to.
The Service
Dialvora provides a contact-center platform that includes:
- Outbound predictive and progressive dialing
- AI voice agents (TTS, STT, conversational AI via third-party providers)
- Lead-list management and CRM integrations
- Call recording, transcription, and analytics
- SIP trunk and VoIP carrier integrations — Twilio, Plivo, Bandwidth, Telnyx, Vonage, SignalWire, Sinch, VoIP.ms, Flowroute, 3CX, Inteliquent, and any standard SIP-compatible provider
- Compliance tooling (DNC scrubbing, litigator-list integration, reassigned-number checks, consent verification)
We may add, modify, or remove features at any time. Beta features are provided as-is with no guarantee of availability.
Acceptable Use
& Compliance
You agree to use the Service in full compliance with all applicable laws, including but not limited to:
- TCPA — Telephone Consumer Protection Act (USA)
- TSR — Telemarketing Sales Rule (FTC)
- National DNC Registry and all state DNC registries
- STIR/SHAKEN caller-ID authentication requirements
- CRTC (Canada), OFCOM (UK), GDPR (EU), and every other jurisdiction where you place calls
- All express written-consent and prior-express-consent requirements
You will not use Dialvora to:
- Place calls to numbers on any DNC list without a valid, documented exemption
- Send spam, fraudulent, deceptive, or impersonation content
- Spoof caller-ID with intent to defraud
- Engage in robocalls, ringless voicemail, or autodialed calls to wireless numbers without prior express written consent
- Sell, transfer, or pledge prohibited goods or services
- Reverse-engineer, resell, or sublicense the Service without our written permission
- Probe, scan, or test the vulnerability of any part of the Service except under our security-disclosure policy
Suspension & Termination
We may suspend or terminate your account, with or without notice, if we reasonably believe you are violating these Terms or applicable law, if a carrier or regulator demands it, if your account is past due, or if continued service creates risk to Dialvora or other customers. We may also suspend specific phone numbers, campaigns, or recipients without suspending the whole account.
You may cancel at any time from the billing portal or by emailing billing@dialvora.ai. Cancellation is effective at the end of the current billing period. Pre-paid amounts are non-refundable.
Fees & Billing
Fees are listed on our pricing page and are billed monthly in advance, in USD, via credit card or ACH. Usage-based charges (telephony minutes, AI tokens, transcription, storage above plan limits) bill in arrears. All fees are exclusive of taxes, which you are responsible for.
Late payments accrue interest at 1.5% per month or the maximum permitted by law. We may suspend the Service if any amount is more than 10 days overdue. Refunds are issued only as required by law or at our sole discretion.
Your Data & Recordings
You retain ownership of all data you upload — lead lists, scripts, recordings, transcripts, dispositions, and call metadata ("Customer Data"). You grant Dialvora a worldwide, non-exclusive license to host, process, and transmit Customer Data solely to provide the Service.
We will not sell or share your Customer Data with third parties except: (a) subprocessors necessary to run the Service (telephony carriers, AI providers, cloud hosting), (b) when required by law, or (c) with your express consent. Our subprocessor list is published at dialvora.ai/dpa.
Intellectual Property
Dialvora and its licensors retain all rights to the Service, software, designs, trademarks, and documentation. You receive a limited, non-transferable, non-exclusive license to use the Service during your subscription. Feedback you give us may be used freely to improve the Service.
Third-Party Services
The Service integrates with third-party providers (telephony carriers including Twilio, Plivo, Bandwidth, Telnyx, and others; AI and voice-technology providers; and cloud hosting). Your use of those services is also governed by their respective terms. We are not responsible for outages, errors, pricing changes, or policy changes in third-party services.

Limitation of Liability
Indemnification
You will defend, indemnify, and hold harmless Dialvora, its officers, employees, and affiliates from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your Customer Data
- Your violation of these Terms or any law
- Any TCPA, DNC, or telemarketing claim brought by a recipient of a call you placed through Dialvora
Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute will be resolved by binding arbitration in Wilmington, Delaware, under the American Arbitration Association's Commercial Arbitration Rules, except either party may seek injunctive relief in court to protect intellectual property or confidential information.
You waive any right to participate in class actions against Dialvora.
Changes to These Terms
We may update these Terms from time to time. Material changes will be announced by email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
General
These Terms, together with the Privacy Policy and DPA, are the complete agreement between you and Dialvora. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or successor.
